MATALI PHYSICS RC3 END USER LICENSE AGREEMENT

THIS SOFTWARE END USER LICENSE AGREEMENT (EULA) IS A LEGAL AGREEMENT BETWEEN YOU (EITHER AN INDIVIDUAL OR A LEGAL ENTITY) AND KOMIRES. IT PROVIDES A LICENSE TO USE THIS SOFTWARE AND CONTAINS WARRANTY INFORMATION AND LIABILITY DISCLAIMERS. BY DOWNLOADING, INSTALLING, COPYING, ACCESSING OR OTHERWISE USING THE SOFTWARE, YOU ARE INDICATING YOUR ASSENT TO THE TERMS OF THIS LICENSE. IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING TERMS, DO NOT INSTALL THE SOFTWARE AND IMMEDIATELY DESTROY ANY COPIES OF THE SOFTWARE IN YOUR POSSESION.

1. DEFINITIONS

a) Komires means Komires Sp. z o.o.

b) Software means all components of Matali Physics RC3 including (but not limited to) executable codes, libraries, source files, data files, any updates provided by Komires, any user manuals, guides, printed materials, on-line or electronic documentation.

2. LICENSE GRANTS

2.1 You may download and use the Software without charge for 90 (ninety) days after installation (Evaluation Period). During this period, Komires grants you a limited, non-exclusive, non-transferable, non-renewable license to copy and use the Software for evaluation purposes only and not for any commercial or non-commercial use.

2.2 After the Evaluation Period, you must discontinue use of the Software and immediately destroy any copies of the Software in your possession.

3. LICENSE RESTRICTIONS

3.1 You may not alter, merge, modify, adapt or translate the Software, or prepare derivative works based in whole or in part on the Software, or decompile, reverse engineer, disassemble, or otherwise reduce the Software to a human-perceivable form.

3.2 You may not sell, rent, lease, transfer, sublicense, resell for profit or otherwise distribute the Software or any part thereof.

3.3 You may not remove or alter any identification, proprietary notice, label or trademarks which appear on or in the Software.

4. OWNERSHIP AND INTELLECTUAL PROPERTY RIGHTS

4.1 This agreement gives you limited rights to use the Software. Komires retains all rights, title and interest in and to the Software and all copies thereof, including copyrights, patents, trade secret rights, trademarks and other intellectual property rights. All rights not specifically granted in this agreement, including International Copyrights, are reserved by Komires. The structure, organization and code of the Software are valuable trade secrets and confidential information of Komires.

5. UPGRADES AND SUPPORT

5.1 During the term of this Agreement, Komires is under no obligation to provide upgrades and support for the Software. Komires may provide upgrades and support for the Software as governed by the documentation and other Komires materials related to and included with the Software. Komires reserves the right to revoke or modify support provided for the Software at any time, for any or no reason.

6. LIMITED WARRANTIES

6.1 THE SOFTWARE IS PROVIDED AS IS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF QUALITY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. KOMIRES DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OR THAT IT WILL OPERATE UNINTERRUPTED OR ERROR-FREE.

6.2 IN NO EVENT WILL KOMIRES BE LIABLE FOR LOSS OF DATA, COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES OR ANY SPECIAL, CONSEQUENTIAL OR INCIDENTAL DAMAGES, UNDER ANY CAUSE OF ACTION AND REGARDLESS OF WHETHER OR NOT KOMIRES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
